Use of the Services

You may use the Services only in compliance with these terms and applicable law. You are responsible for keeping your account credentials secure and for activity under your account. You must not misuse the Services, interfere with their operation, or attempt to access them other than through the interfaces we provide.

Purchases and subscriptions

Prices are shown at checkout and may include applicable taxes. Payments may be processed by a reseller or app store (such as Paddle, Apple or Google), whose terms also apply to the transaction. Subscriptions renew automatically until cancelled; you can cancel at any time and keep access until the end of the current billing period. Refunds are described in our Refund Policy.

Intellectual property

The Services and their content are owned by Ninth Prism Technologies Inc. or its licensors. We grant you a limited, non-exclusive, non-transferable licence to use the Services for their intended purpose. Content you create or upload remains yours.

Termination

You may stop using the Services at any time. We may suspend or end your access if you breach these terms or if required by law.

Content on this website is for general information only and is not professional, legal, financial or technical advice. The Services may link to or integrate third-party sites and services, which we do not control and are not responsible for.

Disclaimer of warranties

To the maximum extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation.

Limitation of liability

To the maximum extent permitted by law, Ninth Prism Technologies Inc. and its directors, employees and suppliers are not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill, arising from or related to the Services. Our total liability for all claims is limited to the greater of the amount you paid us for the Services in the 12 months before the claim or USD $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these terms limits rights you have under consumer protection law that cannot be excluded.

Indemnity

You agree to indemnify and hold harmless Ninth Prism Technologies Inc. from claims, losses and expenses (including reasonable legal fees) arising from your misuse of the Services or your breach of these terms, to the extent permitted by law.

Disputes and governing law

Before bringing a claim, please contact us at support@ninthprism.com so we can try to resolve it informally within 30 days. These terms are governed by the laws of the jurisdiction in which Ninth Prism Technologies Inc. is incorporated, without regard to conflict-of-law rules, and disputes will be resolved in the courts located there, unless consumer protection law where you live gives you the right to bring proceedings locally.

General

We are not responsible for delays or failures caused by events beyond our reasonable control. If any part of these terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. These terms, together with our Privacy Policy and Refund Policy, are the entire agreement between you and us about the Services.

Changes

We may update these terms. If changes are material, we will give reasonable notice. Continued use of the Services after changes take effect means you accept them.
